Terms and Conditions

Acknowledgement
Upon initiation of the rental service, the renter agrees to these terms and conditions.

Intent of Rental
The renter agrees that the tools will be used only for the designated purpose as shown in the brochure. Any misuse outside the designed purpose will result in withholding the deposit until full verification of the tools upon return. In case of malfunction, the deposit may be returned excluding the repair cost, plus the loss of opportunity for the next renter.

Rental Payment
The renter agrees to pay the full rental amount based on the return date of the tools. The renter may choose to have the deposit refunded after deduction of the rental amount or make a full payment to receive a full deposit refund.

Security Deposit
The renter agrees to pay a security deposit of 70% of the tool listing price. This deposit will be refunded upon returning the tool in its original condition, as it was shipped. The security deposit will cover any damage to the equipment. Normal wear and tear are not subject to deposit deductions.

Insurance
The renter agrees to purchase and maintain appropriate insurance for the rented tools. A certificate of insurance will be provided to Digit Systems upon request.

Alterations, Maintenance, and Repair
The renter shall perform their best to maintain the tools in good condition. The renter will be responsible for any damage caused, meaning they will cover all expenses for repairs. All tools will come with a warranty seal. If the seal is damaged, broken, or missing, the security deposit will not be returned. If the seal must be voided, written permission from Digit Systems is required.

Loss of Tools
The renter will be responsible for the loss of the tool and agrees to pay the full listing price for lost tools. A proper written notification is required to cease the rental service and convert the rental to the sale of the tool. Full payment is required within 5 business days from the report date. Any delay in notification will result in an extra rental fee.
Lost tools’ warranties are immediately voided and will not be subject to software updates or repair services.

Other Rules

  • The renter agrees not to allow unauthorized persons to use the tools.
  • The renter agrees not to use the tools in a way that disturbs the peace of the surrounding environment.
  • The renter agrees not to use the tools in violation of the law.

Indemnification
The renter indemnifies the owner and the tools, keeping them free and harmless from any liability, including accidents, loss of tools, injury, death, or damage to property.

Amendment
These terms and conditions can only be changed or modified through written consent of both parties involved.

Governing Law
These terms and conditions shall be governed by the laws of the state of Georgia in the United States.

Terminology:

Exchange:
Type of sales transaction. Digit Systems provides good working parts to the customer, and the customer returns defective but repairable parts to Digit Systems, which share an identical PN (part number) or alternate PN communicated with sales staff at the time of the order.

Outright:
Type of sales transaction. Digit Systems provides good working parts to the customer, and the customer has no obligation to return any parts to Digit Systems.

Exchange Core:
Defective but repairable parts that share an identical PN with the original shipment, returned to Digit Systems during an exchange transaction.

RA (Return Authorization):
Must be requested for all exchange transactions and warranty claims before returning items to Digit Systems for proper identification.

Core Deposit:
The difference between outright and exchange prices.

Prorated Warranty:
A warranty that usually applies to X-ray tubes. As warranty days pass, the refundable amount decreases proportionally.

Loaner:
Type of transaction. Digit Systems provides good working parts to the customer for an agreed period, and the customer returns the parts in good working condition with an RA. Failure to return the parts on time, or in good working condition, may result in additional billing.

Repair:
Type of transaction. The customer sends defective but repairable parts to Digit Systems, and Digit Systems repairs and ships the parts back under an agreed warranty. Lead time for repairs may vary.

#1. INCOTERMS
All Digit Systems sales comply with incoterms: EXW (Ex-Work) unless otherwise specified at the time of sale. Digit Systems is responsible for packaging, labeling, and making the product available at a designated location. Once the goods are at the customer’s disposal, the customer assumes all costs and risks related to the goods.

#2. EXCHANGE SALES
At the time of exchange sales, Digit Systems provides an RA (Return Authorization) number to include with the return of the exchange core. The exchange core must be returned to Digit Systems within 30 days from the original shipment date unless otherwise agreed upon. Failure to return the core within the agreed period will result in additional billing equivalent to the core deposit charge.
Returned exchange cores must share the same part number (unless agreed upon in advance) with the original shipment and be repairable. If the core has a different PN, is unrepairable, or is missing components, notification will be sent to the customer, who will have 5 business days to return a valid core. Failure to comply will result in additional billing.

#3. DOA (Dead on Arrival)
If a customer receives a DOA product, they must report it to Digit Systems within 10 days from the original shipment date and return the product within an additional 7 days.
DOA claims may be denied if:

  • The customer opens the product without prior approval.
  • The customer tampers with the product or its warranty seal.
  • Damage is found on the product.
  • The customer's claim symptom does not match Digit Systems' evaluation.
  • The product is not returned within the agreed period (considered a warranty claim).

#4. WARRANTY CLAIM
If a product fails within the warranty period (specified on the invoice), the customer must report the failure to Digit Systems and return the identical part within 10 days under a provided RA number. Customers may receive a replacement (based on availability) or a full refund, unless the item was purchased under a prorated warranty.
Refundable amount (prorated warranty):
Refundable amount = Invoice amount × (Remaining Warranty Days / Full Warranty Days).
Warranty claims may be denied if:

  • The customer opens the product without prior approval.
  • The customer tampers with the product or its warranty seal.
  • Damage is found on the product.
  • The claim does not match Digit Systems' evaluation.
    Failure to return or notify within the agreed period will result in the item being considered an exchange core.

#5. RESTOCK
To restock a product, the customer must notify Digit Systems and return the original item within 21 days from the original shipment date. Non-refundable items will not be accepted as restocking (noted on the invoice).
Restock penalty:

  • Sealed (unopened) restocking: 20%.
  • Open restocking: 25%.
    Restocks may be denied if the product has been tampered with, the warranty seal is broken, or damage is found. Failure to notify or return within 21 days will result in the item being considered an exchange core.

#6. UNREPAIRABLE/DAMAGED CORES
Certain items (e.g., Coils, Service Tools, Gradient, RF Power Amplifiers, Power Supplies) may be unrepairable. If deemed unrepairable after all repair options have been exhausted, Digit Systems reserves the right to rebill the item as an outright sale.
Unrepairable conditions include missing components, badly burnt circuit boards, leaking heat exchangers, or other major damage. The customer is responsible for the proper packaging of return items. If an item is unrepairable, the customer agrees to accept outright billing.

#7. SHIPMENT AND RISK OF LOSS ITEM
Unless otherwise specified, all parts will be shipped EXW (Ex-Works) from the Digit Systems warehouse at the customer’s expense. Risk passes to the customer once the product leaves the warehouse. All returns should be shipped DDP (Delivered Duty Paid) back to Digit Systems, with risk passing to Digit Systems upon arrival.

#8. PAYMENT
Payment due dates are based on the day the part leaves Digit Systems' facility. Customers with payment terms may incur a late fee if payment is not received within the agreed time.
Late fee schedule:

  • 35–60 days: 1.5%.
  • 61–90 days: 3.0%.
  • Over 91 days: 4.5%.
    After 91 days, the account will go to collections, and the customer will be responsible for all associated costs.
    Credit card/PayPal fees: Domestic 3%, International 5%. International wire transfer fees are the customer's responsibility.

#9. LICENSED PRODUCT
Digit Systems claims no right or interest in any software or other licensed products attached to or necessary for the equipment. The customer is responsible for obtaining the proper legal rights to use such products.

#10. LIMITATION OF LIABILITY
Liability for any claim under this T&C is limited to the price of the item that is the basis of the claim. Neither party will be liable for punitive, incidental, special, or consequential damages such as lost profits. Any action related to this policy will be based solely on commercial law principles.
